This Project Agreement is a Service Agreement as defined in the Master Services Agreement (MSA). It applies to custom project work, including Full Service engagements, one-time projects, and any work outside the scope of the standard Site Care plans.

Timeline assumes timely delivery of required materials, feedback, and approvals from the Client. Delays caused by the Client will extend the timeline accordingly.

Payment Terms

  • Deposit is due upon signing this agreement. Work will not begin until the deposit is received.
  • Milestone payments are due within 15 days of invoice.
  • Final payment is due before final delivery of project assets.
  • Late payments are subject to the terms in the MSA (Section 3).

5. Client Responsibilities

To keep the project on track, the Client agrees to:

  1. Provide materials — Deliver any content, images, logos, brand guidelines, or access needed within 5 business days of request.
  2. Give feedback — Review and provide feedback on deliverables within 5 business days. If we don't hear from you, we'll consider the deliverable approved and move to the next step.
  3. Make decisions — Designate a single point of contact who can make decisions and approvals.
  4. Pay on time — Per the payment schedule above.

If the Client delays beyond 15 business days on any milestone, the Provider may pause work until the required materials or decisions are received.


6. Change Requests

Minor Changes

Small adjustments within the existing scope (tweaking copy, adjusting colors, minor layout changes) are included at no additional cost.

Scope Changes

If the Client requests work that is materially different from or beyond the agreed scope:

  1. We'll document the change and provide a cost and timeline estimate.
  2. Work on the change won't begin until the Client approves the estimate in writing.
  3. The project timeline will be adjusted accordingly.

Scope Creep Protection

We reserve the right to classify any request that adds more than 30 minutes of work beyond the original scope as a change request.


7. Approval Process

  1. Draft delivery — We deliver the first version.
  2. Client review — You have 5 business days to review.
  3. Revisions — We make up to [2] rounds of revisions included in the quoted price.
  4. Final approval — You confirm final approval in writing (email is fine).
  5. Delivery — We deliver final assets.

After final approval, further changes will be treated as a new project or scope change.


8. Intellectual Property

Per the MSA (Section 5):

  • The Client owns the final deliverables upon full payment.
  • The Provider retains the right to display the work in their portfolio.
  • Any materials provided by the Client remain the Client's property.
  • Any third-party assets (stock photos, fonts, etc.) are licensed, not owned, and may have usage restrictions.

9. Post-Project Support

10. Signatures

By signing below, both parties agree to the scope, timeline, and fees in this Project Agreement, subject to the terms of the Master Services Agreement.
